class=\"ul1\">\n<li class=\"li4\">Aligning the client\u2019s goals with an optimal organizational structure and state of the art governing documents;<\/li>\n<li class=\"li4\">Assisting with business owners\u2019 succession planning;<\/li>\n<li class=\"li4\">Advising boards of directors, managers and executive teams on general corporate matters, including supporting or independent executive, audit, compensation, and compliance committees;<span class=\"Apple-converted-space\">\u00a0<\/span><\/li>\n<li class=\"li4\">Advising on the fulfillment of statutory and fiduciary duties by board members and executive officers to owners and other third parties;<\/li>\n<li class=\"li4\">Mitigating risk through the procurement of general liability insurance, property and casualty insurance, directors and officers liability insurance, employment practices liability insurance and other insurance;<\/li>\n<\/ul>\n<\/li>\n<li class=\"li4\">General legal compliance including:\n<ul class=\"ul1\">\n<li class=\"li4\">Satisfaction of legal and contractual obligations, including organizational and product-specific statutory requirements such as import\/export controls,<span class=\"Apple-converted-space\">\u00a0<\/span><\/li>\n<li class=\"li4\">Licensure application and disclosure requirements of regulatory agencies, and<span class=\"Apple-converted-space\">\u00a0<\/span><\/li>\n<li class=\"li5\">The handling of employment-related issues such as compensation and benefits (including health insurance and high-deductible programs), tax withholding, stock options, ERISA, RIFs, immigration, discrimination, retaliation, harassment, and compliance with the Foreign Corrupt Practices Act;<\/li>\n<\/ul>\n<\/li>\n<li class=\"li6\">General advice and referrals to specialists with respect to:\n<ul class=\"ul1\">\n<li class=\"li6\">Intellectual property, including registration and licensing of intellectual property rights and the prosecution and defense of infringement claims, fair use and protection of trade secrets;<\/li>\n<li class=\"li6\">Information technology, including website hosting and e-commerce transactions.<\/li>\n<\/ul>\n<\/li>\n<li class=\"li6\">Negotiating and establishing contractual relationships, including the drafting, evaluation and negotiation of agreements for service providers such as agents, actuaries, risk managers, insurers\/reinsurers, accountants, advertising firms, third party administrators, consultants, communication and information technology vendors, and defense counsel, as well as distribution and sales contracts, output contracts and licensing agreements; and<\/li>\n<li class=\"li2\">Equipment
